Terms of Service - Tenaxis

1. Parties and Scope
These Terms of Service ("Terms") constitute a binding agreement between 4ATE90 B.V., trading as Tenaxis, a private limited company incorporated under Dutch law, registered with the Dutch Chamber of Commerce (KvK) under number 87875160, with its registered office at Breda, the Netherlands ("Tenaxis", "we", "us") and the legal entity or individual ("Customer", "you") that accesses or uses the Tenaxis software-as-a-service platform.
By clicking "Accept", completing the registration process, or otherwise using the Service, you represent that you have read, understood and agreed to these Terms on behalf of the Customer.
2. Definitions

| Authorised User | An individual permitted by Customer to use the Service under Customer's Subscription |
| Documentation | Technical and functional documentation published by Tenaxis for the Service |
| DPA | The Data Processing Agreement governing the processing of personal data, which forms part of these Terms |
3. The Service
3.1 Provision
Subject to these Terms and timely payment of applicable fees, Tenaxis grants Customer a non-exclusive, non-transferable right to access and use the Service during the Subscription term for Customer's internal business purposes.
3.2 Features
The Service includes, without limitation:
- Microsoft 365 site and Teams governance
- Access management and periodic access reviews
- Member and visitor tracking synced with the Microsoft Graph API
- Risk scoring and proactive alerting
- Site lifecycle management
- Reporting and CSV exports
- Webhook and ITSM integrations
- Bulk operations on sites and members
- Advanced SharePoint site configuration including navigation management, document versioning, regional settings, and content type enforcement (optional, requires additional Microsoft 365 permissions)
Feature availability depends on the Subscription plan selected.
3.3 Trials
Tenaxis may offer a free trial period of 14 days with a maximum of 3 sites. At the end of the trial period the Service will cease unless Customer subscribes to a paid plan.
3.4 Updates
Tenaxis may update, modify or add features to the Service at any time. Tenaxis will not materially reduce the core functionality of a paid Subscription during the Subscription term without reasonable notice.
4. Customer Obligations
4.1 Authorised Users
Customer is responsible for all activities of its Authorised Users. Customer shall ensure Authorised Users comply with these Terms and keep access credentials confidential.
4.2 Microsoft 365 Authorisation
Customer must have the lawful authority to connect its Microsoft 365 Tenant to the Service and to grant the OAuth2 permissions required for the Service to function. Customer represents that it has obtained all necessary consents from its organisation and, where applicable, its Microsoft 365 users.
4.3 Acceptable Use
Customer shall not, and shall not permit others to:
- Use the Service to violate any applicable law or regulation;
- Reverse-engineer, decompile or disassemble the Service;
- Use the Service to develop a competing product;
- Attempt to gain unauthorised access to the Service or its underlying infrastructure;
- Transmit malicious code or interfere with the integrity or performance of the Service;
- Circumvent any usage limits or technical access controls.
4.4 Accuracy
Customer is responsible for the accuracy and legality of Customer Data and for ensuring that processing Customer Data through the Service complies with applicable law.
5. Fees and Payment
5.1 Subscription Fees
Fees are set out on the Tenaxis pricing page or as agreed in an Order Form. Fees are in EUR and exclusive of applicable VAT.
5.2 Payment
Fees are billed monthly or annually in advance via Stripe. Customer authorises Tenaxis to charge the payment method on file.
5.3 Late Payment
Unpaid invoices accrue interest at the statutory commercial interest rate applicable under Dutch law. Tenaxis may suspend access to the Service after 14 days' written notice of overdue payment.
5.4 Upgrades and Downgrades
Plan changes take effect at the start of the next billing period unless otherwise agreed. Downgrading may remove access to features or reduce limits.
5.5 No Refunds
All fees are non-refundable except where required by mandatory law or as expressly stated in these Terms.
6. Intellectual Property
6.1 Tenaxis IP
All rights, title and interest in the Service, including software, algorithms, interfaces, designs and documentation, remain the exclusive property of Tenaxis. These Terms do not convey any ownership right to Customer.
6.2 Customer Data
Customer retains all rights to Customer Data. Customer grants Tenaxis a limited licence to process Customer Data solely to provide, secure, maintain and support the Service.
6.3 Feedback
If Customer provides feedback or suggestions, Tenaxis may use them without restriction and without obligation to Customer.
7. Confidentiality
Each party ("Receiving Party") will: (a) keep confidential information of the other party ("Disclosing Party") strictly confidential; (b) use it only to fulfil obligations under these Terms; and (c) disclose it only to employees or contractors who need to know and are bound by equivalent confidentiality obligations. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law (in which case prompt notice will be given where permitted).
8. Data Protection
Processing of personal data is governed by the Data Processing Agreement ("DPA"), which is incorporated into these Terms by reference. Customer acts as the controller and Tenaxis as the processor within the meaning of the General Data Protection Regulation (EU) 2016/679 ("GDPR").
9. Security
Tenaxis implements and maintains technical and organisational security measures appropriate to the risk, including encryption in transit and at rest, access controls, and monitoring. Details are available in Tenaxis's Security Documentation on request. To report a security vulnerability, contact security@tenaxis.nl.
10. Availability and Support
10.1 Uptime Target
Tenaxis targets 99.5% monthly uptime for the Service, excluding scheduled maintenance. Scheduled maintenance will be announced at least 24 hours in advance where possible.
10.2 Support
Support is provided via email at support@tenaxis.nl during business hours (Monday–Friday, 09:00–17:00 CET), excluding Dutch public holidays.
11. Warranties and Disclaimer
11.1 Tenaxis Warranties
Tenaxis warrants that: (a) the Service will materially conform to the Documentation; and (b) Tenaxis has the right to provide the Service.
11.2 Disclaimer
EXCEPT AS EXPRESSLY SET OUT IN CLAUSE 11.1, THE SERVICE IS PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TENAXIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
12. Limitation of Liability
12.1 Exclusion of Consequential Loss
Neither party shall be liable to the other for indirect, incidental, special, consequential or punitive damages, including lost profits or lost data, arising out of or related to these Terms, even if advised of the possibility of such damages, except that the exclusion of liability for loss of data shall not apply to the extent such loss is directly caused by Tenaxis's wilful misconduct or gross negligence.
12.2 Aggregate Cap
Tenaxis's total aggregate liability under or in connection with these Terms shall not exceed the fees paid by Customer in the 12 months immediately preceding the event giving rise to the claim.
12.3 Mandatory Law
Nothing in these Terms limits liability that cannot be excluded or limited under Dutch law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
13. Term and Termination
13.1 Term
These Terms commence on the date Customer first accesses the Service and continue until all Subscriptions have expired or been terminated.
13.2 Termination for Convenience
Customer may terminate a monthly Subscription at the end of the current billing period by cancelling via the account settings. Annual Subscriptions may be cancelled with 30 days' notice before renewal.
13.3 Termination for Cause
Either party may terminate these Terms immediately on written notice if the other party: (a) materially breaches these Terms and fails to cure within 30 days of notice; or (b) becomes insolvent or subject to insolvency proceedings.
13.4 Effect of Termination
Upon termination: (a) all licences cease; (b) Customer may export Customer Data within 30 days; (c) Tenaxis will delete Customer Data within 90 days of termination in accordance with the DPA; (d) accrued payment obligations survive.
14. Changes to Terms
Tenaxis may update these Terms from time to time. Material changes will be notified by email or in-app notification at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If Customer does not accept the changes it may terminate its Subscription before the effective date. Material changes to these Terms shall not result in a material reduction of the functionality available under a paid Subscription for the remainder of the then-current Subscription term.
15. General
15.1 Governing Law
These Terms are governed by Dutch law. The Vienna Convention on Contracts for the International Sale of Goods is excluded.
15.2 Disputes
Any dispute arising out of or related to these Terms shall be submitted exclusively to the competent court in the district where Tenaxis has its registered office, subject to any mandatory consumer protection provisions.
15.3 Entire Agreement
These Terms, together with the DPA, Privacy Policy and any Order Forms, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements.
15.4 Severability
If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable; the remaining provisions continue in force.
15.5 Assignment
Customer may not assign these Terms without Tenaxis's prior written consent. Tenaxis may assign these Terms in connection with a merger, acquisition or sale of substantially all assets.
15.6 Waiver
Failure by either party to enforce any right or provision does not constitute a waiver of that right or provision.
